Loopsound.com Non-Exclusive License Agreement

Please read the following terms carefully before entering into our licensing agreement.

If you do not understand any of the terms contained within this agreement, it is important that you contact us before obtaining a license from this website.

This agreement is between Loopsound.com T/A Multimediasound.co.uk( “us”) and you ( “you”). By accepting the terms and conditions contained within this agreement, you enter into a binding and legally enforceable contract and agree to the following terms:

  1. Definitions: In this agreement, the following definitions are used:

    1. Recording: The sound recording(s) listed in Appendix A of this agreement.

    2. Production: The media or broadcast which contains the synchronised Recording.

    3. Non-exclusive: Copyright contained with the Recording remains the property of the original copyright owner.

    4. Non-transferable: All terms contained within this agreement cannot be transferred to any individual, third party or other business.

    5. PRO: The Performing Rights Organisation that collects royalties on behalf of a composer when a recording is broadcast or publicly performed.

  1. Standard License: By obtaining a Standard License for a Recording from us, you are granted the following limited, non-exclusive, non-transferable rights to :

    1. Embed the Recording into a personal or corporate website.

    2. Use the Recording in a Production streamed as a social video or podcast (e.g. YouTube, Vimeo) excluding Productions that are advertisements or commercials.

    3. Use the Recording as background music in a local radio or television programme broadcast in one country.

    4. Use the Recording in a non-commercial or non-profit film, student film or film festival.

    5. Use the Recording in a non-commercial or non-profit app/game.

    6. Use the Recording in a theatrical or public performance to a non-paying audience ( e.g. theatrical performances in schools ).

    7. Use the Recording as background music in a public area within one organisation at one location (e.g. business premises, restaurants, shops and bars).

    8. Use the Recording for an on-hold telephone system within one organisation at one location.

    9. Manufacture or duplicate up to 5000 copies of physical or download products containing the Recording (e.g. video games, DVD's, educational toys, electronic gadgets, audio books and apps).

  2. Extended License: By obtaining an Extended or Upgrade license for a Recording from us, you are granted the following limited, non-exclusive, non-transferable rights to:

    1. Embed the Recording or Production into multiple personal or corporate websites.

    2. Use the Recording in multiple Productions streamed as a social video or podcast (e.g. YouTube, Vimeo) including Productions that are advertisements or commercials.

    3. Use the Recording as background music in a national radio or television programme broadcast in one country.

    4. Use the Recording in a corporate or commercial advertisement broadcast on national radio or television worldwide

    5. Use the Recording in a corporate or commercial film/motion picture with a budget of less than £1,000,000.

    6. Use the Recording in a commercial app or game.

    7. Use the Recording in a theatrical or public performance to a paying audience (e.g. cinema, trade shows, live events, stage shows and theatre).

    8. Use the Recording as background music in a public area within one organisation at multiple locations (e.g. business premises, restaurants, shops and bars).

    9. Use the Recording for on-hold telephone systems within one organisation at multiple locations

    10. Manufacture or duplicate and distribute unlimited copies of physical or download products containing the Recording (e.g. video games, DVD's, educational toys, electronic gadgets, audio books and apps).

  3. Additional Terms For Any License Type: In addition to all other terms contained within this agreement you also agree to the following:

    1. Where an individual composers PRO information is contained within the Recordings download package, you will report any broadcast usage (e.g. TV and radio productions ) or public performance to the appropriate PRO. Cue sheets should be submitted to the networks, stations and associated PRO. The broadcaster is responsible for obtaining the correct blanket license and for reporting usage for PRO music and there should be no further cost or action required to you.

    2. You must not claim ownership through submission of the Recording to any content detection system ( e.g. YouTube Content ID ).

  4. Limitations: In addition to all other terms contained within this agreement you also agree to the following limitations of use:

    1. The Recording must remain in permanent synchronisation with either text, voice-over, animation, multimedia presentations, games, mobile apps, web site development, film, TV and internet video or any other visuals which may accompany the Recording.

    2. You must not sell, sub-license, resell or give away the Recording on its own or as part of a Recording only format (e.g. CD, album).

    3. You must not create derived works from the Recording and claim it as their own but can edit the Recording to the particular requirements of the Production by cutting, stretching, looping etc.

    4. You must not use the Recording for website templates that are sold or given away for free.

  5. License Fee: On commencement of this agreement, you agree to pay us a one-time fee based on the License Type for each item listed in Appendix A. There are no renewal fees.

  6. Term: The duration of this license agreement is in perpetuity. You will have synchronisation rights for the lifetime of the Production containing the Recording.

  7. Territory: Unless otherwise specified in the terms, you can market and distribute the Production containing the Recording worldwide.

  8. Credits: Credits are not a requirement of this agreement but we encourage and appreciate any credit given to the composer of the Recording and our website.

  9. Warranty: Loopsound.com warrants that it is the copyright owner, is the agent for or has been given authority by the copyright owner to grant the rights contained within this agreement.

  10. Limitation Of Liability: You acknowledge and agree that we will not be liable for any loss or damage arising out of or resulting from our provision of any Recording listed in Appendix A under this agreement, or any breach of any terms of this agreement by you. Any liability by us shall be limited to the original cost of the License Fee.

  11. Availability: We make no warranty that any Recording provided by us will be available at all times and reserve the right to update, modify and remove Recordings from our website without notice.

  12. Indemnity: You agree to indemnify, defend and hold us harmless against any and all claims (including third party claims), demands, actions, suits, legal expenses and damages (including indirect or consequential loss) resulting in any way from:

    1. You or your representatives use of the Recording.

    2. Any breach of the terms of this license agreement by you or any of your representatives.

    3. This clause 13 will survive termination of this agreement.

  13. Termination: Upon termination, you agree to delete the Recording from any computer, media or storage device. The Licensor reserves the right to terminate this license agreement immediately if:

    1. Any of the material terms of this License are breached by you.

    2. The license fee is reversed or refunded.

  14. Severability: You acknowledge the uncertainty of the law with respect to certain provisions of this agreement and expressly stipulates that this agreement will be construed in a manner that renders its provisions valid and enforceable to the maximum extent possible under applicable law. To the extent that any provisions of this agreement are determined by a court of competent jurisdiction to be invalid or unenforceable, such provisions will be deleted from this agreement or modified so as to make them enforceable and the validity and enforceability of the remainder of such provisions and of this agreement will be unaffected.

  15. Governing Law: This agreement is governed by the law of England and Wales, and is subject to the exclusive jurisdiction of the courts of England and Wales.
